Clickfame SA, a company registered in the Commercial Register with VAT number CHE-424.422.960, owner of the affiliation platform called “Affiliation Bet” with registered office at Martigny 1920, Avenue de la Gare 56, hereinafter referred to as “Clickfame SA” and:

Company/Association/Legal person/Natural person over 18 who has declared their age in the registration form, willing to promote the products or services offered by Clickfame SA, under the terms and conditions described below, hereinafter referred to as “Affiliate”.

Introduction to our terms

Clickfame SA has created and developed an affiliate platform available online at https://affiliation.bet/ for and on behalf of Affiliation.bet may operate and Clickfame SA reserves the right to delegate these terms and conditions to any other company of its choice including Affiliation.bet.

Clickfame SA provides all types of marketing services through its affiliate platform (marketing campaigns, customer support and brand advertising material). Clickfame SA offers Affiliates access to marketing campaigns, set and defined by operators and available on the Affiliation.Bet platform.

Clickfame SA offers all members of the network support and payment of commissions generated in the promotion of advertising campaigns of Operators, through the use of text links, banners and other marketing tools available on the Affiliation.Bet platform.

To be part of the Clickfame SA affiliate network, each webmaster or site owner must register on the platform by completing the online registration form and must accept the Terms and Conditions.

The Affiliate confirms to Clickfame SA that he or she is not a private individual under 18 years of age and that he or she has the legal rights to register with the affiliate network. If under 18, the affiliate must have a parent or guardian register on his or her behalf.

This agreement comes into effect upon approval of the Operators as an Affiliate and will remain in effect until terminated.

The Affiliate also retains sole responsibility for ensuring that he or she has the legal right to promote the Operators via links/banners or other marketing tools. Clickfame SA reserves the right to delegate these terms and conditions to any other company of its choosing. Now and therefore, the parties agree as follows:

Article 1: Definitions

For the purposes of this agreement, the terms shall have the following meanings:

  • Platform: the Clickfame SA software, available online and allowing the connection between the Operators and the Affiliates, also provides detailed information on the progress and performance of the Affiliates broken down by the different Operators, such as impressions, clicks, registrations and deposits.
  • Affiliate/Publisher: a natural or legal person, member of the network, who publishes the Operators’ content on his/her website and who generates commissions for the products advertised through text links/banners or any other marketing material on his/her website. If the Affiliate is a person, he/she must be at least 18 years of age. If the Affiliate is under 18 years of age, a parent must give consent to the registration.
  • Operator: person, organization or company, looking for new customers by launching different types of marketing campaigns, through the Clickfame SA affiliate network.
  • Web surfer: individual or legal entity connected to the Internet, who uses the web to carry out actions – interactive or not – such as viewing websites, exchanging information or legally carrying out recognized actions such as purchasing products or services.
  • Marketing campaign: set of conditions that govern the relationship between the Affiliate and the Operator, including the remuneration (commission) for the Affiliate paid by the Operator.
  • Clickfame SA database: database (database) that collects all the information relating to the Affiliates and potential users generated within the marketing campaigns introduced by the Operator.
  • Active Affiliate: affiliate who has connected to his Affiliation Bet account at least once in the last 24 months.
  • Inactive Affiliate: Affiliate who has not connected to his Affiliation Bet account in the last 24 months.
  • Closed Account: Account no longer accessible by the affiliate.

Article 2: Purpose

The purpose of this contract is to establish the conditions and methods of implementing the Operator’s marketing campaigns on the platform and the structure of the commission to be paid by the Clickfame SA affiliate.

Article 3: Obligations of Clickfame SA

Clickfame SA undertakes to ensure the correct functioning of the hardware and software components of the platform, giving users full access to all the services offered on the platform according to the terms and conditions of this contract.

In the event of a technical failure affecting the operation of the platform for reasons beyond the control of Clickfame SA, such as a failure in the communication system, a failure in the system of the Internet service provider, or any other reason, Clickfame SA undertakes to inform the Affiliate of the situation and to resolve the technical problem as quickly as possible.

Clickfame SA undertakes to record and store the digital information of users through the methods of their choice for the period necessary for the execution of the contract.

Clickfame SA undertakes to ensure the permanent availability and access of the Affiliate to the statistics of the advertising campaigns, such as impressions, clicks, registration forms and generated profits (Commissions).

Clickfame SA will regularly inform the members of the affiliate network, by methods of their choice, about new marketing campaigns launched, providing full information on the terms and conditions of the campaign itself.

Clickfame SA reserves the right to accept or reject any new Affiliate willing to join the network. In case of refusal, Clickfame SA reserves the right not to provide any explanation or compensation.

Clickfame SA undertakes to provide the Affiliate with all necessary marketing tools such as banners, text links, email package necessary to promote the Operators.

In the event of a technical failure affecting the operation of the platform for reasons beyond the control of Clickfame SA, such as a failure in the communication system, a breakdown in the internet service provider’s system, or any other reason, Clickfame SA undertakes to immediately inform the affiliates of the matter and the timeframe for its resolution.

Events such as these do not affect the continuation of the contract and cannot give rise to any claim by the Affiliate. These events must be considered as cases of force majeure.

Clickfame SA has the right to monitor the partner site to ensure that they comply with the conditions of this contract and the Partner provides Clickfame SA with all data and information (including, but not limited to, passwords) to enable Clickfame SA to carry out such checks at no cost.

Clickfame SA provides detailed information on the commissions due to the Affiliates.
Commissions are calculated based on statistics and reports held by Clickfame SA. Reports are updated on a daily basis.

In the Partner accounts, the Affiliate has access to all the statistics of the generated commissions. These commissions will remain pending until they are confirmed and paid by the Operator. All confirmed commissions will then be paid to the affiliate by Clickfame SA.

Articles 4.1: Obligations of Affiliates

The Affiliate agrees to provide Clickfame SA with reasonable assistance in displaying, accessing, transmitting and maintaining the links.

The Affiliate agrees to permanently implement and display the latest links provided by Clickfame SA on every page of their website as agreed by both parties. The Affiliate must not change the form, position or operation of the links provided by Clickfame SA without its authorization.

The Affiliate agrees to place tracking links provided by Clickfame SA to ensure proper tracking of user actions on the website, such as impressions, clicks, registrations and deposits on the Operators’ site.

Clickfame SA strictly prohibits any fraudulent action by Affiliates.

Each Affiliate site must be authorized by Clickfame SA in order to start promoting an Operators’ campaign. The authority granted by Clickfame SA guarantees that the affiliate site complies with all the requirements of the Operator.

Promotional material and links of the Operators must be advertised only on sites that are authorized by Clickfame SA. In the event that banners are arbitrarily used on a site not authorized by Clickfame SA, the Affiliate will be immediately suspended and this may lead to termination of the contract.

The Affiliate undertakes to comply with the methods of implementation of each marketing campaign in accordance with the specifications provided by the Operator. Any action not foreseen or not described in the marketing campaign is subject to the approval of the Operator.

In particular, Clickfame SA draws the Affiliate’s attention to the following points:

  • Sending emails: unless expressly authorized to do so by the Operator, it is formally prohibited for the Affiliate to promote the advertiser’s website by sending emails, except when using promotional material provided by the Operator. If the Operator authorizes the email, the Affiliate must obtain approval from Clickfame SA for the use of the promotional material. In addition, the Affiliate certifies that the sending of the email is done on an opt-in basis, in accordance with applicable law.
  • Incentive: Unless explicitly authorized by the Operator, it is formally prohibited for the Affiliate to offer “rewards” or “bonuses” to users in any form. If the Operator authorizes the incentive, the Affiliate should comply with the exact methods and, if necessary, obtain prior authorization from the Operator.
  • Brand bidding: Unless expressly authorized by the operator and Clickfame SA, it is strictly prohibited to purchase keywords related to the operator’s brand on any “pay per click” platform.

Failure to comply with these rules may result in the exclusion of the Affiliate from the program in question.

Article 5: Fraud

In the interest of all parties, all actions by the Affiliate aimed at artificially altering the commissions due are prohibited.

Any action carried out (automatically or otherwise) by the Affiliate with the aim of generating commissions is considered fraudulent. Likewise, any action that does not comply with the methods of implementing a marketing campaign may be considered fraudulent by Clickfame SA without further justification.

In the event of fraud, the contract will be considered terminated with immediate effect, without notice and without any compensation. If necessary, Clickfame SA will request reimbursement of the amounts unduly paid to the Affiliate, and reserves the right to initiate legal proceedings against the Affiliate. Unless previously authorized by Clickfame SA in writing, the following operations are not taken into account in the calculation of commissions:

  • Artificial, repeated clicks not made by real web users (meaning an individual who freely chooses to click on a banner/link of an Operator), made by a robot, software or any other means.
  • Forced click: a forced click is considered a click on a banner/link of an Operator imposed on a user in order to grant the latter access to the Affiliate’s website, to confirm an action – such as participation in a game, sending a message, etc. (the list is not intended to be exhaustive).
  • Automatic generation of email addresses.
  • Clicks obtained using modified tags.
  • Clicks obtained using tags placed on a website that has not been declared by the Affiliate;
  • Multiple registrations in order to mislead the Operator.
  • More generally, all actions carried out by the Affiliate that lead to non-compliance with all these conditions, including their obligations towards the Operator.

Article 6: Billing and Payment

Different types of remuneration:

  • CPM (Cost per Mille): cost per thousand impressions.
  • CPC (Cost per Click): equivalent cost paid for the click.
  • CPL (Cost per Lead): used in online advertising campaigns, CPL defines the earnings generated by the Affiliate when it conveys a potential user to the Operator.
  • CPA (FIXED): fixed earnings based exclusively on specific qualified sales/actions.
  • CPA (PROGRESSIVE): the value of the CPA is defined by levels calculated based on the earnings generated by the user referred by the Affiliate.
  • REVENUE SHARE: The revenue share payment model is a percentage calculated on the earnings generated by the users referred by the Affiliate.
  • HYBRID: A payment model that combines the Revenue Share and CPA models.

Clickfame SA will track each visit to the Operator’s site. Based on the information collected, the Operator will calculate and pay the commissions to the Affiliate.

In the event of non-payment of the amounts due, the payment of the commission to the Affiliate due by Clickfame SA will be subject to amicable settlement or litigation.

Clickfame SA processes payments to its Affiliates twice a month, using the payment information filled in the account details. Commissions accrued must reach the minimum payment threshold of 100 euros (this data may be modified, between 100 and 1000 euros). Commissions below 100 euros will be carried forward to the payment session of the following month.

Clickfame SA cannot be held responsible in any way for any delay in the payment of commissions. All commissions generated are subject to final approval by the Operators and, after being confirmed and paid to Clickfame SA, will become available to the Affiliates.

Article 7: Modification of a website

Any modification to the name of any of the Operators’ websites and any modification to the hosting location, its size, its purpose, its update frequency, will not have any effect on the Contract, which will be automatically and automatically applied to the modified website.

The Contract refers to all hosting locations of this site, existing or future.

In the event that the Affiliate modifies its website significantly or spreads its website to other different sites, the Affiliate must inform Clickfame SA in order to proceed with the reassessment of the characteristics of the Operator’s site. Once this has been done, the contract automatically applies to these new sites.

Articles 8: Liability

Neither party will be liable for any indirect loss suffered by the other party.

Neither party shall be liable for any damages, direct or indirect, or in connection with this agreement, including, without limitation, loss of profits, loss of revenue, loss of customers, loss or corruption of data.

Clickfame SA cannot be held liable by the Affiliate if it is unable to identify a new depositing user or a user from the affiliate site.

The aggregate liability of Clickfame SA under this agreement shall in no event exceed the amount of commissions paid by Clickfame SA during the period of six months from the date on which the dispute occurred or due to a compensation arisen.

Clickfame SA expressly points out that advertising of bets and games offered on the affiliate platform or inducing bets and gambling, is subject to legal restrictions in some countries and may even be prohibited.

In such case the Affiliate acknowledges that it has no right to publish advertising material of Clickfame SA on its website. In this case, the Affiliate is also prohibited from participating in the affiliate program and registering for it through Clickfame SA.

In the event of inconvenience, of any form, for Clickfame SA or for the Affiliate, due to ignorance of prohibitions in the country of domicile of the Affiliate, he himself will be solely responsible for these inconveniences.

Article 9: Force Majeure

Neither party shall be liable for any failure or action under this agreement caused by a force majeure event.

Force majeure may be defined as an extraordinary event or circumstance beyond the control of the parties that prevents one or both parties from fulfilling any or all of their obligations under this agreement or that may affect the performance of their actions by making them excessively burdensome or difficult to fulfill.

Such events include: natural disasters, wars, political changes, strikes, the act of a public authority including the invalidation of laws and regulations for the operation of gambling or the creation of taxes.

It is agreed that force majeure will only result in the suspension of this agreement during the period in which this extraordinary event occurs. A party using the force majeure event as a reason to terminate the agreement must inform the other party.

Article 10: Intellectual Property

Affiliates who advertise on their websites one of the promotions of the brands, will not have any intellectual rights on the promotional material, products or services offered by the Operator.

For the duration of the campaign Clickfame SA gives the Affiliates, and only for the specific campaign, the non-exclusive right to use the trademarks and trade names of the Operator for commercial purposes.

The use of the Software by the Affiliates only grants the right to use it, non-exclusive and limited by the continuation of the contract.

The Affiliate undertakes not to violate, directly or indirectly, the intellectual property rights of Clickfame SA and the Affiliates on the Clickfame SA platform.

Nothing in this agreement constitutes a license, assignment, transfer or other intellectual property right, including, without limitation, patents, trademarks, copyrights, databases.

Article 11: Duration and termination

This agreement remains in force for an indefinite period. It can end in several cases:

  • Termination for good cause: Clickfame SA may terminate the agreement, with immediate effect, by giving written notice to the Affiliate if it breaches any of its material obligations under this agreement and fails to remedy it within 15 days of receiving the request made by Clickfame SA;
  • Termination without good cause: Clickfame SA may unilaterally terminate this agreement within a period of four weeks from receipt by the other party of the notification from Clickfame SA, and without explanation. No damages can be paid to the Affiliate.
  • Termination for non-use: Any inactive affiliate account (see definitions) will be automatically closed and all outstanding commissions related to its account will not be paid to the affiliate.
  • Consequences of Termination: In the event of termination of this Agreement, the Affiliate immediately ceases to use the Services and the platform. The Affiliate will immediately return all confidential information received from Clickfame SA.

Article 12: General Provisions

  • Assignment: The Affiliate may not assign or otherwise transfer this Agreement to any third party, unless Clickfame SA expressly agrees to such assignment in writing.
  • Invalidity: If for any reason a court of competent jurisdiction finds any provision of this Agreement to be invalid or unenforceable, such provision shall be enforced to the maximum extent and the other provisions of this Agreement shall remain in full force and effect.
  • Notices: All notices under this Agreement shall be given in writing to the address of the parties set forth on the first page of this Agreement. Any change of address may be notified to the other party in accordance with this section.
  • Advertisements will be deemed served (i) when delivered in person, on the date indicated on the receipt, (ii) when delivered by registered mail, return receipt requested, on the date indicated on the receipt or, if there is no reception, on the date of its first delivery, (iii) when delivered by overnight postal service, if available, on the date indicated by such service on the receipt, waybill or any other receipt, or (iv) when delivered by facsimile or e-mail on the date of the return confirmation facsimile or e-mail. In the case of (iv), notification of delivery will not be deemed to have been given if no confirmation is sent in response.
  • Entire Agreement: This Agreement constitutes the complete and exclusive understanding and agreement between the parties with respect to its subject matter and supersedes all prior or contemporaneous understandings or agreements, written or oral, with respect to its subject matter.
  • Waiver / Modification: Any waiver, modification or amendment of any provision of this Agreement will be effective only if in writing and signed by authorized representatives of each party.

Article 13: Law and jurisdiction

The agreement in all respects is governed by and construed in accordance with the laws of Switzerland.

All disputes, controversies or claims arising out of or relating to this Agreement, or the breach, termination or invalidity thereof, shall be resolved by arbitration, in accordance with the laws applied in Switzerland.
